But file converter has the following message.

Not that I would be aware of. As a single user you normally you would install Prime first just because the product number you need to get a license file will only work with Prime and not with Mathcad. So when you later install Mathcad you can point it to the license file you got when you installed Prime. If your company runs a license server this does not apply.
When installing Prime 6 (in parallel to Prime 5) I did't reinstall Mathcad 15 and Primes converter works OK. So this shows that the installation order does not matter.
Of course (the documentation states it, too) you lose the ability to do the conversion with older versions of Prime you may still have installed. Conversion will only work with the newest Prime you have installed.
